Terms and Conditions

These Advertising Terms and Conditions (“Terms”) govern the advertising services provided by AdxVenture, an online advertising agency based in Dehradun, Uttarakhand, India. By engaging in advertising services with AdxVenture, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you should refrain from using our services.

Definitions & Interpretation

• “AdxVenture,” “we,” “us,” or “our” refers to AdxVenture, the online advertising agency based in Dehradun, Uttarakhand.
• “Advertiser,” “you,” or “your” refers to any individual or entity engaging in advertising services with AdxVenture.
• “Advertising Services” refers to the creation, placement, and management of advertising campaigns by AdxVenture on behalf of the Advertiser.
• “Creative Materials” refers to any advertising content, including ad copy, images, videos, and other assets provided by the Advertiser for use in the advertising campaign.
• “Campaign Brief” refers to the detailed instructions provided by the Advertiser to AdxVenture, outlining the objectives, target audience, and other relevant details.

Interpretation

• Headings: The headings and subheadings are for reference only and do not affect the interpretation of these Terms.
• Entire Agreement: These Terms constitute the entire agreement between the parties and supersede all prior understandings, whether oral or written.
• Severability: If any provision of these Terms is found invalid or unenforceable, the remaining provisions shall remain in effect.

Advertising Services

1. Campaign Brief: The Advertiser shall provide a detailed campaign brief outlining the objectives, target audience, and budget.
2. Creative Materials: The Advertiser is responsible for ensuring that all creative materials comply with Indian laws and regulations, including the Advertising Standards Council of India (ASCI) guidelines.
3. Approval and Modifications: AdxVenture reserves the right to review and suggest modifications to the creative materials to meet legal and advertising standards.

Payment and Billing

1. Payment Terms: Payment for services must be made in Indian Rupees (INR) unless otherwise agreed. Terms and pricing will be specified in the invoice.
2. Late Payments: Failure to make timely payments may result in suspension of services. Any costs arising from suspension will be borne by the Advertiser.

Intellectual Property

1. Ownership: The Advertiser retains ownership of the creative materials but grants AdxVenture a license to use them for the advertising campaign.
2. AdxVenture’s Materials: Any materials created by AdxVenture are the intellectual property of AdxVenture and may not be used without permission.

Compliance and Content

1. Compliance: The Advertiser must ensure all content adheres to Indian laws and ASCI guidelines.
2. AdxVenture’s Discretion: We reserve the right to reject content that violates these guidelines or is inappropriate.

Liability

AdxVenture is not liable for indirect or consequential damages, including loss of business or profits, arising out of the advertising services.

Confidentiality

Both parties agree to maintain the confidentiality of non-public information exchanged during the provision of services.

Termination

Either party may terminate the agreement with written notice. The Advertiser must pay for all services rendered up to the date of termination.
